  1. Acceptance of Terms

    By engaging our development services, you agree to these terms and conditions. All projects require a signed contract outlining scope, timeline, deliverables, and payment schedule before work begins.

  2. Project Scope

    Project scope is defined in the signed contract. Any changes to scope require written approval and may affect timeline and cost. We provide detailed project specifications and milestone definitions.

  3. Client Responsibilities

    Clients must provide necessary content, feedback, and approvals within agreed timeframes. Delays in client responses may affect project timeline. Regular communication is essential for project success.

  4. Service Provider Responsibilities

    We commit to delivering high-quality work according to agreed specifications and timelines. We provide regular updates, maintain professional standards, and ensure code quality and security.

Payment Terms

  1. Payment Schedule

    Projects under KES 200,000 require 50% upfront and 50% on completion. Larger projects follow milestone-based payments as outlined in the contract. All payments are due within 7 days of invoice.

  2. Accepted Payment Methods

    We accept M-Pesa, bank transfers, PayPal, Stripe, and other secure payment methods. International clients can pay via PayPal or Stripe. All payments must be in the currency specified in the contract.

  3. Late Payments

    Late payments incur 2% monthly interest. Work may be suspended for payments overdue by more than 14 days. Completed work remains client property, but source code delivery may be delayed until payment.

Intellectual Property Rights

  1. Code Ownership

    Upon full payment, clients receive complete ownership of custom-developed code. This includes source code, documentation, and related materials created specifically for the project.

  2. Third-Party Components

    Third-party libraries, frameworks, and tools retain their original licenses. We ensure all third-party components are properly licensed and documented for your use.

  3. Portfolio Rights

    We reserve the right to showcase completed projects in our portfolio and marketing materials, unless otherwise agreed. Client confidential information is always protected and anonymized when necessary.

Warranties and Liability

  1. Service Warranty

    We guarantee professional workmanship and industry-standard security practices. We provide 3 months of free bug fixes for issues related to our development work post-launch.

  2. Limitation of Liability

    Our liability is limited to the total project value. We are not liable for indirect damages, lost profits, or consequential damages. Clients are responsible for data backups and content accuracy.

  3. Force Majeure

    Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or technical infrastructure failures.
